1. INTRODUCTION AND ACCEPTANCE
These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between HandlePay (“HandlePay”, “we”, “our”, “us”, “the Company”), a product operated by BlockApex Labs (Private) Limited, a company incorporated in Pakistan with its registered office at 191 Q, Block 2, PECHS, Karachi 75400, Pakistan, and you (“User”, “you”, “your”).
By accessing, browsing, or using the HandlePay application, website, and services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
These Terms apply to all users of HandlePay. Your use of the Services is conditioned upon your compliance with these Terms and all applicable laws and regulations.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
2.1 Age Requirement
The Services are intended only for individuals who are 18 years of age or older. By using HandlePay, you represent and warrant that you are at least 18 years old and possess the legal capacity to enter into this Agreement. We do not knowingly permit individuals under the age of 18 to use the Services, and we will delete any information that we learn has been provided by a person under 18.
2.2 Account Creation
To use certain features of HandlePay, you must create an account by selecting a username and setting up a passkey credential. You are responsible for maintaining the confidentiality of your passkey and any associated credentials. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately if you become aware of unauthorized access to your account or any other breach of security.
2.3 Accurate Information
You agree to provide accurate, current, and complete information during account registration and to update such information to maintain its accuracy. You acknowledge that providing false, inaccurate, or misleading information may result in immediate account suspension or termination.
3. NATURE OF HANDLEPAY AND NON-CUSTODIAL SERVICES
3.1 Non-Custodial Software
HandlePay is a non-custodial financial software provider. This means: (a) HandlePay does not custody, control, or hold your digital assets, cryptocurrencies, tokens, or funds; (b) HandlePay does not issue money, provide banking services, or act as a financial custodian; (c) you maintain exclusive control over your assets at all times; and (d) HandlePay is solely software that facilitates your access to digital asset services and tokenized assets.
3.2 User Responsibility
You are solely responsible for the security, management, and use of your account, credentials, and any digital assets you control through HandlePay. Your passkey is stored entirely on your device. You acknowledge that: (a) loss of your passkey credentials may result in permanent loss of access to your assets; (b) HandlePay cannot recover lost credentials or restore access to your account; (c) you must securely back up and protect your passkey; and (d) HandlePay cannot and will not sign transactions or move assets on your behalf.
3.3 Third-Party Services and Licensed Partners
Regulated financial services, including on-ramps, off-ramps, card issuance, and banking services, are provided by licensed third-party partners, not by HandlePay. These partners are independent service providers, and you agree to comply with their terms of service, privacy policies, and applicable regulations. HandlePay is not responsible for the actions, omissions, services, or content of third-party partners. Your use of partner services is at your own risk.
4. ACCEPTABLE USE AND PROHIBITED CONDUCT
You agree that you will not, and will not assist or enable anyone else to:
- Engage in any illegal activity or violate any applicable laws, regulations, or sanctions programs;
- Use the Services to facilitate money laundering, terrorism financing, fraud, bribery, ransomware payments, or other financial crimes;
- Attempt to gain unauthorized access to HandlePay's systems, networks, or infrastructure;
- Exploit, reverse-engineer, decompile, or otherwise attempt to derive source code or business logic from the Services;
- Harass, threaten, defame, or abuse other users or HandlePay personnel;
- Create multiple accounts to circumvent restrictions, exploit referral programs, or manipulate leaderboards;
- Introduce viruses, malware, or other harmful code into HandlePay's systems;
- Spam, phish, or engage in social engineering against HandlePay or other users;
- Use the Services in any manner that violates these Terms or our Privacy Policy; or
- Assist or encourage any other person in committing any of the above actions.
5. KNOW YOUR CUSTOMER (KYC) AND ANTI-MONEY LAUNDERING (AML)
5.1 Identity Verification
Identity verification is required only when you choose to use specific features through licensed third-party partners, such as on-ramps, off-ramps, or card services. When verification is required, you authorize us to share your verification information with the relevant partner. Verification is performed by our external KYC/AML provider, and we receive only pass/fail results—not your underlying identity documents.
5.2 Compliance with Laws
You agree to comply with all applicable anti-money laundering laws, sanctions regulations, and financial crime prevention laws in your jurisdiction. HandlePay reserves the right to suspend or terminate your account if we have reasonable grounds to believe you are violating these laws or engaging in prohibited financial activity.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 HandlePay Ownership
HandlePay and all content, features, functionality, design, compilation, information, graphics, and materials related to the Services are the exclusive property of BlockApex Labs (Private) Limited or its licensors and are protected by international copyright, trademark, and other intellectual property laws.
6.2 Limited License
We grant you a limited, non-exclusive, non-transferable, and revocable license to use HandlePay for your personal, non-commercial purposes in accordance with these Terms. You may not reproduce, distribute, transmit, display, or otherwise exploit any content from HandlePay without our prior written consent.
6.3 Your Content
You retain all rights to any content you create or provide through HandlePay. However, you grant HandlePay a worldwide, royalty-free license to use such content for the purpose of operating, improving, and maintaining the Services.
7. DISCLAIMERS AND LIMITATION OF LIABILITY
7.1 “AS-IS” Disclaimer
THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7.2 No Guarantees
HandlePay does not guarantee: (a) uninterrupted, error-free, or timely access to the Services; (b) that any defects in the Services will be corrected; (c) that the Services are secure or free from viruses or other harmful components; or (d) that transactions will complete successfully or that digital assets will transfer as expected.
7.3 Financial Risk Disclaimer
Digital assets, cryptocurrencies, and tokenized assets are highly volatile and speculative. HandlePay does not provide investment advice, and you acknowledge the substantial risk of financial loss. You agree that any use of HandlePay to access digital assets or financial services is entirely at your own risk.
7.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HANDLEPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, EVEN IF HANDLEPAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE AND EXCLUSIVE REMEDY SHALL BE LIMITED TO THE FEES, IF ANY, PAID BY YOU TO USE THE SERVICES.
8. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless HandlePay, BlockApex Labs (Private) Limited, and their officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party intellectual property or privacy rights.
9. ACCOUNT TERMINATION AND SUSPENSION
HandlePay may suspend, restrict, or terminate your account and access to the Services, with or without notice, if: (a) you violate these Terms; (b) you engage in prohibited conduct or illegal activity; (c) we reasonably believe your account poses a risk to HandlePay or other users; (d) you fail to comply with KYC/AML requirements; or (e) we are required by law or regulation to do so. Upon termination, your rights to use the Services cease immediately, though you remain responsible for any outstanding obligations.
10. DISPUTE RESOLUTION AND GOVERNING LAW
10.1 Governing Law
These Terms and your use of HandlePay shall be governed by and construed in accordance with the laws of Pakistan, without regard to conflicts of law principles.
10.2 Jurisdiction and Venue
You agree that any legal action or proceeding relating to these Terms or your use of HandlePay shall be brought exclusively in the courts of Karachi, Pakistan. You irrevocably consent to the jurisdiction and venue of these courts and waive any objection to venue or inconvenient forum.
10.3 Dispute Resolution
Before initiating legal proceedings, you agree to attempt to resolve any dispute by contacting HandlePay at the email or address provided in Section 13. If the dispute cannot be resolved within 30 days of written notice, you may pursue legal action as permitted by applicable law.
11. CHANGES TO THESE TERMS
HandlePay reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting within the app or on our website, and the “Last Updated” date will be revised accordingly. Your continued use of the Services after an update constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically for updates.
12. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and HandlePay regarding your use of the Services and supersede all prior negotiations, understandings, and agreements, whether written or oral.
15. ACKNOWLEDGMENT AND CONSENT
By using HandlePay, you acknowledge that you have read and understood these Terms of Service, that you agree to be bound by them, and that you consent to our collection and use of your information as described in our Privacy Policy. If you do not agree to these Terms, you must immediately cease use of the Services.
